1. ACCEPTANCE OF TERMS OF USE
(i) These terms of use constitute a legal agreement and are entered into between you and Nomad Inc. ("Nomad", "we," "us," "our"). These terms of use, together with any documents they expressly incorporate by reference (collectively, these "Terms of Use"), govern your access to and use of www.nomad.io and any other website, landing page or web content operated by Nomad or a Nomad Affiliate that links to these Terms of Use (collectively, the "Website"), including any content, functionality, and services offered on or through the Website.
(ii) The Website is not the Nomad Platform. These Terms of Use apply to the public, marketing and informational areas of the Website. Access to and use of the Nomad Platform, including any portal, mobile application or account to which you log in, is governed by the Nomad Platform Terms and Conditions available at www.nomad.io/terms (the "Platform Terms") and, where applicable, by the separate written agreement between your organization and Nomad, a Nomad Affiliate or a Partner. If there is any conflict between these Terms of Use and the Platform Terms with respect to the Nomad Platform, the Platform Terms prevail.
(iii) By accessing or using the Website, you accept and are bound by these Terms of Use and the Privacy Policy, and you affirm that you are of legal age to enter into this agreement under applicable law. If you do not agree to these Terms of Use, you must not access or use the Website.
(iv) We reserve the right in our sole discretion to revise and update these Terms of Use from time to time. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of the Website. You agree to periodically review these Terms of Use to be aware of any such modifications, and your continued use of the Website after a revised version is posted constitutes your acceptance of the changes.
(v) The information and material on the Website may be changed, withdrawn, or terminated at any time in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Website is restricted to users or unavailable at any time or for any period.
2. DEFINITIONS
As used in these Terms of Use, the following terms have the meanings set out below:
“Nomad Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with Nomad, including any subsidiary of Nomad through which any products or services are offered or provided.
“Nomad Platform” means the online platforms, web portals, mobile applications, application programming interfaces, dashboards, tools and related software, technology, content and functionality made available by Nomad or any Nomad Affiliate to their customers and partners, access to which is governed by the Platform Terms.
“Partner” means a factoring company, fuel program operator or other business that has engaged Nomad or a Nomad Affiliate to provide the Nomad Platform or related services to or through it.
“Personal Information” means any information about an identifiable individual, or that may directly or indirectly identify an individual.
“Platform Terms” has the meaning set out in Section 1(ii).
“Privacy Policy” means Nomad's privacy policy available at www.nomad.io/privacy, as amended from time to time.
“User Content” has the meaning set out in Section 5(i).
3. INFORMATION ON THE WEBSITE
(i) General information only. The content on the Website, including descriptions of the Nomad Platform and of the fuel, payment, factoring, financing, software and other products and services offered by Nomad, the Nomad Affiliates and Partners, is provided for general information purposes only. It does not constitute an offer, a commitment to provide any product or service, or financial, legal, tax, accounting or other professional advice, and you should not rely on it as such. Any product or service is provided only under, and subject to the eligibility criteria, approvals and terms of, the applicable written agreement.
(ii) Pricing, rates and examples. Any prices, rates, discounts, savings, limits, availability, network coverage, illustrations, calculators or examples shown on the Website are indicative only, may not reflect the terms available to you or your organization, may change without notice, and are not binding on Nomad, any Nomad Affiliate or any Partner.
(iii) Forward-looking and third-party statements. The Website may contain statements about future products, features, plans or performance, and may present testimonials, case studies, statistics or other content contributed by customers, Partners or other third parties. Such statements reflect views at the time made and are not guarantees; individual results vary.
(iv) Accuracy. We endeavour to keep the Website accurate and current, but we make no representation that the content is complete, accurate or up to date, and we may correct errors or omissions at any time without notice.
(v) Geographic availability. The Website is operated from Canada. The products and services described on it are offered only in the jurisdictions in which Nomad, the applicable Nomad Affiliate or Partner is authorized to offer them, currently Canada and the United States, and nothing on the Website is an offer or solicitation in any jurisdiction where such an offer or solicitation would be unlawful.
4. INTELLECTUAL PROPERTY RIGHTS
(i) You understand and agree that the Website and its entire contents, features, and functionality, including, but not limited to, all information, software, code, data, text, displays, graphics, photographs, images, video, audio, music, broadcast, design, presentation, website layout, selection, and arrangement, are owned by Nomad, the Nomad Affiliates, their licensors, or other providers of such material and are protected in all forms by intellectual property laws including, without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.
(ii) You may access and use the Website, and may download or print a reasonable number of pages of the Website, solely for your own or your organization's internal, non-commercial evaluation of Nomad's products and services, provided that you do not modify the content and that you retain all copyright and other proprietary notices. No other use is permitted without Nomad's prior written consent. No rights or licences are granted except as expressly set forth in these Terms of Use. All other rights are reserved.
(iii) The Nomad name, the Nomad logo, and all related names, logos, product and service names, designs and slogans are trademarks of Nomad or the Nomad Affiliates. Other names, logos and marks appearing on the Website, including those of Partners, suppliers and customers, are the trademarks of their respective owners. You must not use any such marks without the prior written permission of the applicable owner.
5. USER CONTENT AND SUBMISSIONS
(i) The Website may allow you to submit information through contact forms, demo or quote requests, applications, sign-up forms, surveys, chat tools, job applications or similar features ("User Content"). You represent and warrant that all User Content you submit is accurate, current and complete, that you have the right to submit it, and that it does not infringe or violate the rights of any person or any applicable law.
(ii) By submitting User Content, you grant Nomad and the Nomad Affiliates a non-exclusive, royalty-free, worldwide licence to use, store, reproduce and process the User Content for the purpose for which it was submitted, to respond to you, to assess your or your organization's eligibility for products and services, and as otherwise described in the Privacy Policy. Personal Information contained in User Content is processed in accordance with the Privacy Policy.
(iii) If you submit an application, request or expression of interest for any product or service through the Website, you acknowledge that submission does not constitute approval, that Nomad, the applicable Nomad Affiliate or Partner may decline it in its sole discretion, and that you may be asked to provide additional information and to enter into a written agreement before any product or service is provided. Where you authorize us to do so, we may obtain credit, identity or business information about you or your organization from third parties for that purpose.
(iv) If you provide Nomad with any suggestions, comments, ideas or other feedback relating to the Website, the Nomad Platform or Nomad's products or services ("Feedback"), you agree that Nomad and the Nomad Affiliates may use and exploit such Feedback for any purpose without restriction or any obligation to you.
6. CONDITIONS OF USE
(i) As a condition of your access to and use of the Website, you agree that you may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree that your use of the Website will not violate any applicable law.
(ii) Without limiting the foregoing, you agree that you will not:
(a) use the Website in any manner that violates any applicable federal, provincial, state, local or international law or regulation;
(b) impersonate or attempt to impersonate Nomad, a Nomad Affiliate, a Partner, a Nomad employee, another user, or any other person or entity, or submit any information that is false, inaccurate or misleading;
(c) introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
(d) attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Website, the server on which the Website is stored, or any server, computer, database or account connected to the Website;
(e) use any robot, spider, scraper, or other automated device, process, or means to access the Website, to monitor or copy any of its content, or to extract data from it, including for the purpose of training machine-learning or artificial-intelligence models, without Nomad's prior written consent;
(f) frame, mirror, deep-link to or otherwise incorporate any part of the Website into any other website or service without Nomad's prior written consent, other than a plain-text link to the Website's home page;
(g) copy, modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of any software forming part of the Website, or create derivative works based on the Website;
(h) use the Website to send unsolicited commercial communications, or to harvest or collect email addresses or other contact or Personal Information of any person;
(i) remove, obscure or alter any copyright, trademark or other proprietary rights notices on the Website; or
(j) otherwise attempt to interfere with the proper working of the Website.
(iii) Nomad may monitor use of the Website, may investigate any suspected breach of these Terms of Use, and may restrict or block access to the Website by any person, IP address or region at any time without notice.
7. PRIVACY, COOKIES AND COMMUNICATIONS
(i) Personal Information collected through the Website, including through forms, cookies, analytics tools, chat tools and similar technologies, is collected, used, disclosed, stored and otherwise processed in accordance with the Privacy Policy, which is incorporated into these Terms of Use by reference. By using the Website, you acknowledge that you have read and understood the Privacy Policy.
(ii) The Website uses cookies and similar technologies to operate, secure, measure and improve the Website and, where permitted, for marketing purposes. Information about the cookies we use and how to manage your preferences is set out in the Privacy Policy or in the cookie notice presented on the Website.
(iii) Where you provide your contact information and request information, a demo, a quote or a product, you consent to Nomad and the Nomad Affiliates contacting you by email, telephone, text message or other electronic means for that purpose. Where you consent to receive marketing communications, you may withdraw that consent at any time by using the unsubscribe mechanism in the communication or by contacting us at privacy@nomad.io, in accordance with *Canada's Anti-Spam Legislation* and other applicable law.
8. THIRD-PARTY WEBSITES, CONTENT AND SERVICES
(i) The Website may contain links to, or embed content from, websites, applications, content or services operated by third parties, including Partners, suppliers, payment networks, financial institutions, social media platforms, job boards and analytics or advertising providers (collectively, "Third-Party Services"). Third-Party Services are provided for your convenience only. Nomad does not control, endorse, or assume responsibility for any Third-Party Services, and your use of any Third-Party Services is at your own risk and subject to the terms and privacy policies of the applicable third party.
(ii) References on the Website to Partners, customers, suppliers or other third parties, and the display of their names or logos, do not imply any endorsement by them of Nomad, or by Nomad of them, beyond the existence of a commercial relationship.
9. DISCLAIMER OF WARRANTIES
(i) YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE WEBSITE, ITS CONTENT, AND ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE WEBSITE, ITS CONTENT, AND ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
(ii) NEITHER NOMAD NOR THE NOMAD AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, OR SUCCESSORS MAKE ANY WARRANTY, REPRESENTATION, OR ENDORSEMENT WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, SUITABILITY, ACCURACY, CURRENCY, OR AVAILABILITY OF THE WEBSITE OR ITS CONTENTS. WITHOUT LIMITING THE FOREGOING, NEITHER NOMAD NOR THE NOMAD AFFILIATES OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, OR SUCCESSORS REPRESENT OR WARRANT THAT THE WEBSITE, ITS CONTENT, OR ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE WEBSITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10. LIMITATION ON LIABILITY
(i) EXCEPT WHERE SUCH EXCLUSIONS ARE PROHIBITED BY LAW AND TO THE EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCE WILL NOMAD NOR THE NOMAD AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, OR SUCCESSORS BE LIABLE FOR NEGLIGENCE, GROSS NEGLIGENCE, NEGLIGENT MISREPRESENTATION, FUNDAMENTAL BREACH, DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT, BREACH OF CONTRACT, BREACH OF PRIVACY, OR OTHERWISE, EVEN IF THE PARTY WAS ALLEGEDLY ADVISED OR HAD REASON TO KNOW, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OR RELIANCE ON, THE WEBSITE, ANY LINKED WEBSITES OR SUCH OTHER THIRD-PARTY SERVICES, NOR ANY WEBSITE CONTENT, MATERIALS, POSTING, OR INFORMATION THEREON.
(ii) TO THE EXTENT THAT THE EXCLUSIONS IN SECTION 10(i) ARE HELD TO BE UNENFORCEABLE, THE TOTAL AGGREGATE LIABILITY OF NOMAD AND THE NOMAD AFFILIATES TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100.00). THIS SECTION DOES NOT LIMIT ANY LIABILITY OF NOMAD OR A NOMAD AFFILIATE UNDER THE PLATFORM TERMS OR UNDER ANY SEPARATE WRITTEN AGREEMENT, EACH OF WHICH IS GOVERNED EXCLUSIVELY BY THAT AGREEMENT.
11. INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Nomad and the Nomad Affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms of Use, your User Content, or your use of the Website, including, but not limited to, Third-Party Services, any use of the Website's content, services, and products other than as expressly authorized in these Terms of Use.
12. GOVERNING LAW AND JURISDICTION
(i) These Terms of Use are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
(ii) You irrevocably consent to the exclusive jurisdiction of the courts of the Province of Ontario for all matters arising out of or in connection with these Terms of Use or your use of the Website, and waive any objection to the venue of any such proceeding in such courts. Notwithstanding the foregoing, Nomad may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or the security of the Website.
13. SEVERABILITY
If any term or provision of these Terms of Use is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms of Use or invalidate or render unenforceable such term or provision in any other jurisdiction.
14. GENERAL
(i) Entire Agreement. These Terms of Use and the Privacy Policy constitute the entire agreement between you and Nomad with respect to your access to and use of the Website and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to that subject matter. For certainty, these Terms of Use do not govern the Nomad Platform or any product or service, which are governed by the Platform Terms and the applicable written agreement.
(ii) Waiver. No failure or delay by Nomad in exercising any right or power under these Terms of Use shall operate as a waiver thereof, nor shall any single or partial exercise of any such right or power preclude any other or further exercise thereof. No waiver of any provision of these Terms of Use shall be effective unless in writing and signed by Nomad.
(iii) Assignment. Nomad may assign or transfer these Terms of Use, or any of its rights or obligations under them, to any Nomad Affiliate or to any successor to all or substantially all of its business or assets, without notice to or consent from you. You may not assign or transfer these Terms of Use or any of your rights or obligations under them.
(iv) Third-Party Beneficiaries. Each Nomad Affiliate is an intended third-party beneficiary of these Terms of Use and is entitled to enforce the provisions of these Terms of Use that are expressed to be for its benefit. Except as expressly provided in this Section, these Terms of Use do not confer any rights or remedies on any person other than you and Nomad.
(v) Survival. Sections 4, 5(ii), 5(iv), 9, 10, 11, 12, 13 and 14, and any other provisions of these Terms of Use that by their nature are intended to survive, will survive any termination of your access to the Website.
(vi) Contact. Any questions, notices or requests regarding these Terms of Use, and any notice of alleged infringement of intellectual property rights on the Website, may be directed to Nomad Inc., 149 East Liberty Street, Suite 606, Toronto, Ontario M6K 3K4, or by email to privacy@nomad.io.
(vii) Language. The parties have expressly requested and required that these Terms of Use and all related documents be drawn up in the English language. Les parties conviennent et exigent expressément que ce contrat et tous les documents qui s'y rapportent soient rédigés en anglais.
(viii) Headings. Section headings are for convenience of reference only and do not affect the interpretation of these Terms of Use.
BY USING THE WEBSITE YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS OF USE AND THE PRIVACY POLICY AND AGREE TO BE BOUND BY THEM.
